Terms of Service Box4Bizz

General

1.1 This agreement governs your use of the Box4Bizz Cloud Storage (“the Service”).
The Service is provided by Cloud4Bizz Ltd, Media Park, Sumatralaan 45, 1217 GP, Hilversum, The Netherlands (“Cloud4Bizz”). Additional terms and conditions of use applicable to specific areas of the Service may also be posted in such areas. This agreement together with any such additional terms and conditions are referred to as “the Agreement”.

1.2 Cloud4Bizz reserves the right, in its discretion, to change or modify all or any part of the Agreement at any time, effective immediately upon notice published on the Service. Your continued use of the Service constitutes your binding acceptance of these terms and conditions. If at any time the terms and conditions of this Agreement are no longer acceptable to you, you should immediately cease all use of the Service.

1.3 The Service is directed to teenagers and adults and are not directed at children under the age of 13, as referred to in our Privacy Policy. By agreeing to these Terms, you state that you are over the age of 13 years.

Use of Content

2.1 You acknowledge that the Service is a ‘as is, as available’ storage platform where you provide us with information, files and folders (collectively “the Content”) that you upload to the Service.

2.2. You are the sole owner of your Content but you grant us the right to host and copy your Content and make it available for sharing. This granted right is extended to third parties that help us to provide the Service, like the software provider Ippany. Sharing of your Content is an activity that will only be undertaken by you and others you grant permission to. Cloud4Bizz will never undertake the act of sharing your Content.

2.3 The Service provides you the ability to share your Content with others or to make it public. Due to the nature of digital content and Internet, users can do all kinds of acts with your Content, like copy, modify and re-share. You acknowledge that you are aware of these possibilities with your Content once you make it shareable via the Service. Cloud4Bizz take no responsibility whatsoever for this kind of activity.

2.4 You may download the Ippany Client Software (the “Software”) on our website and use that to mount an extra drive on your PC or extra volume on your Mac computer. You acknowledge that Ippany BV has all copyrights and all other intellectual property rights regarding the Software. Cloud4Bizz and Ippany hereby grant you a limited, non-exclusive, non-transferable, revocable license to use the Software, purely only to access the Service.

Rules of Conduct

You shall not misuse the Service. You must not carry out the following acts:

- publish and share content that is obscene, pornographic, harassing, threatening or discriminatory;

- breaching security and hacking the Service

- distributing content containing viruses or other destructive features;

- publish and share content that violates the rights of others, such as copyrights, intellectual property rights and privacy;

- publish and share content contains a link to a web-site with such content;

- acts that violate the law;

- send unsollicited communications, promotions or advertisements, or spam;

- impersonate or misrepresent your identity

- acts of spoofing and phishing and other deceptive acts

Your Responsibilities

Cloud4Bizz does not and cannot review the content posted by users on the Service and is not responsible for such content. You alone are responsible for the Content that you upload, store and share on the Service. Content may be subject to intellectual property rights of others. Unless you have the right to do so, we urge you not to copy, upload, download or share files. You only – and not Cloud4Bizz – are fully responsible and liable for what you copy, share, up- and download and any other act whilst using the Service. Do not upload spyware or any other malicious software to the Service.
You only – and not Cloud4Bizz – are fully responsible for the maintenance and protection of your Content. Cloud4Bizz will not be liable for any loss or corruption of your Content. Neither for any costs and expenses that are linked to backing up and restoring your Content. You shall remain solely responsible for all content posted by you and you will hold Cloud4Bizz harmless against any claims of any nature.
It is your responsibility to keep your account information updated.

No Endorsement

5.1 Cloud4Bizz do not represent or endorse the accuracy or reliability of any content posted on any interactive area and you acknowledge that any reliance upon such content shall be at your sole risk.

5.2 The Service may contain links to internet sites which are owned and operated by third parties. You acknowledge that Cloud4Bizz are not responsible for the availability of, or the content located on or through any of such sites. You should contact the Webmaster or site administrator for those sites if you have any concerns regarding such links or the content located on these sites.

Indemnity

You agree to indemnify, defend and hold Cloud4Bizz, its affiliates, its staff, other users and any related party harmless from and against any and all claims, liability, losses, costs and expenses incurred by any Cloud4Bizz party in connection with any use or alleged use of the Service under your password.

Cloud4Bizz reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to co-operate with Cloud4Bizz’s defence of such claim.

Termination of the Service

Cloud4Bizz reserve the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of the Service. Cloud4Bizz may change, suspend or discontinue all or any aspect of the Service at any time, without prior notice or liability.

Disclaimer of Warranties; Limitation of Liability

8.1 Cloud4Bizz do not warrant that the Service will be uninterrupted or error free and Cloud4Bizz do not make any warranty as to the results to be obtained from use of the Service. The Service are distributed on an “as is, as available” basis. Cloud4Bizz do not make any warranties of any kind with respect to the Service and or Content. Furthermore Cloud4Bizz do not make any warranties of any kind that any files or data available for downloading through the Service will be free of viruses or destructive features. You expressly agree that the entire risk as to the quality and performance of the Service and the accuracy or completeness of the Content is assumed solely by you.

8.2 Cloud4Bizz shall not be liable for any direct or indirect damages arising out of the use of or inability to use the Service and/or the Content.

Applicable law

The Agreement shall be construed in accordance with the laws of the Netherlands and the parties irrevocably consent to bring any action to enforce the Agreement in the court of Utrecht.

Entire Agreement

The Agreement constitutes the entire agreement between the parties. Sections 2, 6, 8 and 9 shall survive any termination of the Agreement as well as any other provision which by their terms or sense are intended to survive.
